Sample Master Service Agreement (MSA) UK

Parties Involved:

Service Provider: XYZ Solutions Ltd.
Address: 123 Baker Street, London, NW1 6XE

Client: ABC Enterprises Ltd.
Address: 456 Queen’s Road, London, SW1A 1AA

Scope of Services:

The Service Provider shall deliver the services outlined in Schedule A, including but not limited to IT consultancy, development, and support, as specified in this agreement and subsequent addenda.

Term and Termination:

This agreement commences on the Effective Date and continues for an initial period of 12 months, unless terminated earlier in accordance with clause 4. Termination requires written notice of 30 days by either party.

Payment Terms:

The Client shall pay the Service Provider according to the schedule detailed in Schedule B. Payments are due within 30 days of receipt of the invoice. Late payments shall attract interest at 2% per month.

Confidentiality:

Both parties agree to maintain the confidentiality of all proprietary information exchanged under this agreement, in accordance with UK confidentiality laws and standards.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of England and Wales. Disputes will be settled in the courts of London.

Additional Provisions:

  • Both parties shall comply with applicable UK regulations, including GDPR.
  • Amendments to this agreement must be made in writing and signed by both parties.
  • Liability limitations are specified in Schedule C.
